Demetrios Xistris is one of the founding members of our Firm.

Over a 35 year career, Demetri has counseled and advised clients in a wide range of financial and corporate activities in areas of corporate finance, securities, banking, derivatives, and mergers and acquisitions. He has counseled private and public corporations, issuers, lenders, equity investors, start-ups, private equity investors, family offices, high net-worth individuals, investment funds, hedge funds and shareholders in corporate and commercial matters, including capital markets, securities, private placements, business partnerships and investments, mergers and acquisitions and asset sales, private equity investments, joint ventures, roll-up and spin-off transactions, and cross border investments. He has deep relationships within the investment banking, capital markets, broker dealer, funds, derivatives and finance and banking industries.

Demetri has also worked at various investment banks including JPMorgan and BNP Paribas in their equity, debt and capital markets divisions advising equity and bond trading, derivatives, structured products and investment banking activities, and their regulatory compliance, including FINRA and SEC investigations. Through his legal work and years at investment banks, he was an early practitioner in the derivatives and structured products area across all asset classes and documentation.

He has also been a senior advisor to digital and print on demand publishers, a credit opportunity fund, broker-dealers, food and beverage investors and operators and the legal cannabis market.

Demetri began his career as a corporate lawyer at White & Case LLP specializing in financial transactions including banking, corporate finance, securities, and mergers and acquisitions. He spent a year working in Tokyo doing corporate finance, capital markets and mergers and acquisitions work.

Demetri is quite often involved in special long-term projects for clients and is quite often on secondment.

 Represented a public paper company in its various corporate financing transactions and asset acquisitions and dispositions of paper company assets.

 Represented a major materials moving company in the sale of its assets to a strategic corporate acquiror.

 Represented major New York Banks in acquisition financing and leveraged financing transactions for leveraged buyout sponsors.

 Represented numerous banks and financial institutions in connection with their derivatives activities including various hedging and monetization strategies, the creation of Prime Brokerage businesses and various derivative products across a wide range of asset classes.

 Represented a not-for-profit entity for reliance claims against a large financial institution for their failure to correctly value derivative trading positions.

 Represented a leading New York hospitality group in the disposition of certain restaurant and service assets and the repositioning of its brand into new lease locations, including the negotiation of various lease transactions and their termination.

 Represented a leading digital and print-on-demand company in the development and negotiation of its publishing agreements and its various ongoing technology, intellectual property, rights agreements, and global licensing and sub-licensing.

 Represented mutli-media and film talent in the development and production of film and media projects and individual career roles and activities.

 Represented a large staffing company in its lease negotiations and the termination of its business during COVID-19.

 Represented legal cannabis and CBD businesses in the formation of their corporate activities and in the negotiation of their various debt, equity and joint venture activities.

 Represented a Broker Dealer in all its SEC, FINRA and state examinations, market sweeps and other inquiries.

 Represented a Broker Dealer in all its employee hiring and termination matters including claims for unpaid bonuses and compensation.

 Represented a financial firm in a cybersecurity related crime and the resolution of claims with clients related thereto.
