We are pleased to announce that Paul Crath and Marvin Miller, founding members of Crath Miller & Xistris LLP, have been named Department Heads of the Firm’s Financial Restructuring practice group.
CMX's Financial Restructuring practice draws on our lawyers' deep experience in advising companies and investors engaged in corporate and financial restructurings and workouts, debtor and creditor-related disputes and special opportunities and special situations.
We have a deep understanding of the business dynamics involved in capital markets, securities and finance and banking allowing us to provide strategic advice on restructuring distressed businesses and investments to maximize their value. We provide practical solutions that resolve disputes related to a company's financial challenges to enable companies to continue operating or to allow investors to achieve the highest possible returns on their investments. In addition, CMX acts as general counsel to insolvency, restructuring and investment banking and broker dealer firms giving us greater insight into the market and its developments.
Paul Crath’s career has been at the intersection of law, business, advisory and transactional assignments. Paul started his legal career at White & Case in the 1990’s. He then advised Canadian family offices on their global investments and was a principal at private equity firms focused on mining and resources, real estate, healthcare, specialty technology in global markets including China and Russia. He was a Managing Director and General Counsel at Norvista Resources Corporation and has advised Canadian broker dealers on their Canadian, US and international activities. He is also a board member and CEO of a number of Canadian public companies that have been restructured and undergone numerous reverse merger transactions. Paul’s vast experience in cross-border corporate and transactional work between the US and Canada and his knowledge of the financial marketplace allows him to be a valued advisor to our clients.
Through his business and financial roles, and prior law firm experience, Paul developed a keen sense of what client’s legal needs are and how successful lawyers manage and execute their client’s business objectives in an efficient and effective manner. This shared experience with his CMX colleagues when together at White & Case, made it apparent to Paul that there was a better way to deliver legal services through a dynamic boutique law firm providing solution-focused legal services for traditional businesses and emerging companies without the “BigLaw” approach.
Paul’s multiple roles at CMX will allow him to continue to operate as an active business executive, investor and consultant helping companies with their expansion and capital needs in the US and Canada. At the same time, Paul will be a prime force in CMX’s firm efforts to build a great law firm with great clients.

Marvin Miller has more than 30 years of financial transaction expertise at the intersection of law, business, advisory and transactional assignments encompassing a broad range of private and public financial transactions.
Marvin’s representation has included domestic and international corporate, financial and banking institutions, hedge funds, family offices, high net-worth individuals, and governmental entities in a wide range of financing, mergers and acquisitions, roll-up transactions, leveraged buyouts, securities transactions, corporate strategic equity and debt transactions, including first, second lien, subordinated debt and mezzanine debt financings, financier equity positions, sale-leasebacks, synthetic leases, debtor-in-possession facilities, municipal bond offerings, and art and racehorse financings.
Marvin's is well known for identifying the risk profile of transactional decisions made by CMX's clients and providing creative problem solving and risk mitigation advice in the pursuit of their business objectives.
Marvin began his career in the 1980s at White & Case LLP specializing in banking, finance, securities and mergers and acquisitions. He is a former partner at Winston & Strawn LLP and was previously the General Counsel and Managing Director of Pelican Point Capital and Pelican Point Media based in Newport Beach, California.
